Terms and Conditions (T&C)

1. Scope of Application

These Terms and Conditions (T&C) apply to all contracts concluded between Philipp Zhou / palstudios (hereinafter referred to as “palstudios”) and business customers (B2B).
Deviating terms and conditions of the customer shall not apply unless expressly agreed to in writing by palstudios.

2. Offers and Conclusion of Contract

2.1. All offers made by palstudios are non-binding and subject to change.
2.2. A contract is only concluded upon written confirmation of the offer by palstudios or through an explicit declaration of acceptance by the customer.

3. Products and Services

3.1. palstudios offers the production and delivery of T-shirts, hoodies, merchandise items, blanks, and fulfillment logistics services.
3.2. The minimum order quantity (MOQ) depends on the product and is specified in the respective offer.

4. Prices and Payment Terms

4.1. All prices are stated in euros and are net prices, exclusive of statutory VAT.
4.2. Prices are project-based and offered individually.
4.3. Payment is made by bank transfer, either in advance or as otherwise agreed. Invoices are payable within 14 days of the invoice date.
4.4. In the event of late payment, palstudios is entitled to charge default interest at the statutory rate.

5. Delivery and Shipping

5.1. Production and delivery times depend on the order quantity. As a general rule, delivery takes approximately 60 days from order confirmation and receipt of payment unless otherwise agreed in writing.
5.2. Shipping costs are borne by the buyer. Shipping is carried out via UPS, DHL, or freight forwarding, both nationally and internationally.
5.3. Partial deliveries are permitted if reasonable for the buyer.

6. Returns and Withdrawal

6.1. Returns and withdrawals are excluded, as all transactions are B2B.
6.2. Personalized or custom-made products are also excluded from return (§ 312g BGB).

7. Warranty and Liability

7.1. Obvious defects must be reported in writing within 7 days of receipt of the goods; otherwise, the goods are considered accepted.
7.2. In the case of justified defects, palstudios will, at its discretion, provide rectification or replacement delivery.
7.3. Further claims, in particular claims for damages due to indirect losses, loss of profit, or force majeure, are excluded.
7.4. The liability of palstudios is limited to the value of the order.

8. Data Protection

8.1. palstudios collects and processes personal data exclusively in accordance with the applicable data protection laws.
8.2. Further information can be found in the privacy policy on the website.

9. Applicable Law and Jurisdiction

9.1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
9.2. The place of jurisdiction is Düsseldorf, provided the customer is a merchant within the meaning of the German Commercial Code (HGB).

10. Final Provisions

10.1. Amendments and supplements to these T&C must be made in writing.
10.2. Should any provision of these T&C be invalid, the validity of the remaining provisions shall remain unaffected.
